The following terms constitute a legal agreement. By downloading and using our brand's intellectual property affirms that you completely agree to these terms.

We are pleased to grant you a limited license to use the Habana Promotions, L.L.C. Brand to let you endorse www.HabanaPromotions.com, provided you agree to the following (the "License"):

1. All uses of our Brand will be in compliance with the terms below and the Habana Promotions, L.L.C. Brand Usage Guidelines.
2. For each application of our Brand, you must be separately authorized to use the Habana Promotions, L.L.C. Brand using this license.
3. You agree to allow us. to list the name of your company in an index of companies that link to the Habana Promotions, L.L.C. web site.
4. Our Brand is a trademark owned solely and exclusively by Habana Promotions, L.L.C., and you acknowledge the value of the goodwill associated with the our Brand and that any goodwill from your use exclusively inures to the benefit of and belongs to Habana Promotions, L.L.C.. You have no rights of any kind in the Habana Promotions, L.L.C. Brand, except to the extent granted by this license.
5. You agree that this license does not grant to you any rights with respect to any other Habana Promotions, L.L.C. trademarks. You will not do anything inconsistent with our ownership of the Brand, such as filing any trademark application anywhere in the world, now or in the future. You will not use the Habana Promotions, L.L.C. Brand in any manner that suggests our endorsement or recommendation of your Service or otherwise creates a false association with us, or on or in connection with anything that is unlawful or encourages unlawful conduct.
6. Our Brand shall be conspicuously marked and/or designated as the trademark property of Habana Promotions, L.L.C. on your site. Notice shall also be placed on your site that other persons may not use our trademark in any manner. Our Banner contains copyrighted property of Habana Promotions, L.L.C. and shall be so marked and/or designated as the copyrighted property of Habana Promotions, L.L.C. on your site. Notice shall also be placed on your site that other persons may not copy our Branded materials for any purpose.
7. This license is revocable at will by Habana Promotions, L.L.C. at our sole discretion.
8. You will defend, indemnify and hold harmless Habana Promotions, L.L.C. against losses, liability, damage, cost and/or expense (including reasonable legal fees) arising out of any claims or suits, whatever their nature and however arising, which may be brought or made against Habana Promotions, L.L.C. because of your use of the our Brand in any manner except as expressly permitted by this License, or for any personal injury, product liability or other claim arising from the production, promotion, distribution, sale and/or offer for sale, and/or the performance of your Service.
9. Habana Promotions, L.L.C. has no obligation to provide any type of additional support for your Service in connection with this agreement.
10. Our Brand is provided to you on an "AS IS" basis. we makes no warranties whatsoever regarding the Habana Promotions, L.L.C. Brand, such as non-infringement. In no event will Habana Promotions, L.L.C. be liable for any special, incidental or consequential damages resulting from the use or distribution of our Brand.
11. This license shall be governed by and construed in accordance with the laws of the United States and the State of California. If any provision of this license is held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible and the remaining provisions of this license will remain in full force and effect.
12. We grants you no additional use rights in the Habana Promotions, L.L.C. Brand and any other use such as on advertising, promotional literature or merchandising is a violation of this agreement.
13. This Agreement is valid for one (1) year from the effective date of execution, unless otherwise terminated as per the provisions noted above. In order to renew this Agreement for an additional year, you must submit a written request within thirty (30) days prior to the Agreement's expiration. Habana Promotions, L.L.C. will provide you with written approval of renewal within a 30-day period.

Additional Legal Terms and Conditions

1. No web development, web design, web graphic designer or web hosting firm can use the Habana Promotions, L.L.C. logos or Trademarks without paying a developer's license fee if they plan on altering the logos for their client(s). For information on commercial licenses, please contact us.
2. The user of a personal web site is not permitted to commercially exploit any of the our logos. Nor can the web user transfer the our logos to any third party. any reprinting, sublicensing, copying, modifying, publishing, assignment, transfer, sales, or other distribution of our logos contained within this web site or any other web site is strictly prohibited without the prior written consent of Habana Promotions, L.L.C.. The user shall not copy, reverse engineer, translate, port, modify or make derivative works of our logos without express written permission from Habana Promotions, L.L.C..
3. All our logos are to be used "as they appear" and are not to be cut up or resized or altered without express written permission of Habana Promotions, L.L.C..
4. All our logos are copyrighted and may not be reproduced, even if modified or merged with other graphics. The user shall not alter or remove any copyright notice, digital watermarks or proprietary legend contained in/on any of the logos. Unauthorized copying of the Habana Promotions, L.L.C. logos or failure to comply with any of the terms, restrictions, conditions, or limitations herein will result in automatic termination of this non-exclusive license.
5. In the event that we request the removal of the Habana Promotions, L.L.C. Logos, you hereby agree to remove the logos from your server, hard drive, diskette, any CD Rom, Zip drive, network drive, or any forms of electronic/hard storage media within 24 hours or less of being notified.
6. These terms of this agreement are subject to change without notice.
7. The Habana Promotions, L.L.C. logos which may be downloaded for use on non-commercial sites as detailed above. Feel free to download these logos for use on your personal, non-commercial pages or merchandise as detailed above.
8. For Internet use, the logo must be a link to www.HabanaPromotions.com. Make sure to right click on the image and choose "save as." Do not link directly to these images from your web site unless otherwise authorized.

This license and the Habana Promotions, L.L.C. Brand Usage Guidelines constitute the entire agreement between you and Habana Promotions, L.L.C. concerning the Habana Promotions, L.L.C. Brand. Any waiver or amendment of any part of this license or the Habana Promotions, L.L.C. Brand Usage Guidelines is effective only if in writing and signed by an authorized representative of both you and Habana Promotions, L.L.C.. Any proposals for additional or different terms are hereby rejected.
